Terms of Service

These Terms of Service ("Terms") govern your use of the Vorx Consultancy website at vorxcon.com and all services provided by Vorx Consultancy ("Vorx", "we", "our", "us"). By accessing our website, submitting an enquiry, or engaging our services, you confirm that you have read, understood, and agreed to these Terms.

These Terms apply to all visitors, clients, and users of our website and services. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity.

Vorx Consultancy provides business consultancy services including but not limited to:

• Company formation and registration in multiple jurisdictions.
• Bank account opening introductions and EMI/fintech account setup.
• Nominee director, shareholder, and corporate secretarial services.
• Immigration, visa, and residency by investment applications.
• Tax structuring, GST/VAT compliance, and accounting services.
• Free online tools including the Free Zone Finder, Country Comparison, and Business Estimator.

Vorx acts as a business consultancy and facilitator. We are not a law firm, accounting firm, or financial advisory firm. The information provided on our website does not constitute legal, tax, or financial advice. Always seek independent professional advice for your specific circumstances.

When engaging our services, you agree to:

• Provide accurate, complete, and up-to-date information as required for service delivery.
• Submit all required KYC/AML documentation in a timely manner.
• Not use our services for any unlawful, fraudulent, or deceptive purpose.
• Notify us promptly of any changes to your information that may affect your application or engagement.
• Comply with all applicable laws and regulations in your jurisdiction and the jurisdictions where services are delivered.

Vorx reserves the right to refuse or terminate services if we have reason to believe a client is engaged in, or intends to engage in, any illegal, fraudulent, or sanctioned activity.

Service fees are outlined in the proposal or engagement letter provided to each client. Unless otherwise stated:

• All fees are quoted in the currency specified in your proposal and are exclusive of applicable taxes.
• A deposit or full payment may be required before work commences, as specified in your engagement letter.
• Government fees, registration charges, and third-party disbursements are additional to our service fees unless expressly included.
• Invoices are due within the timeframe specified on the invoice.
• Late payments may incur interest at the rate specified in your engagement letter.

Refunds for Vorx service fees are assessed on a case-by-case basis and depend on the stage of work completed at the time of cancellation:

• If work has not yet commenced, a full refund of Vorx service fees (excluding payment processing fees) may be issued.
• If work is partially completed, a pro-rated refund may be issued at Vorx's discretion.
• No refunds are issued once a service has been fully delivered.
• Applications rejected by government authorities due to circumstances beyond Vorx's control are not eligible for refund of government fees.

To request a refund, contact us at support@vorxcon.com within 14 days of your payment date.

All content on vorxcon.com — including our proprietary tools (Free Zone Finder, Country Comparison Tool, Business Estimator), written content, designs, logos, and software — is the exclusive intellectual property of Vorx Consultancy and is protected by applicable copyright, trademark, and intellectual property laws.

• You may not copy, reproduce, distribute, or create derivative works from our content without express written permission.
• Unauthorised use of our tools, including scraping, reverse engineering, or replication, is strictly prohibited.
• Vorx's trademarks and branding may not be used without prior written consent.

Violations of our intellectual property rights will result in immediate legal action.

To the fullest extent permitted by law, Vorx Consultancy shall not be liable for:

• Any rejection, delay, or refusal of applications by government authorities or financial institutions.
• Consequential, indirect, incidental, or punitive damages arising from our services.
• Loss of profits, business, or opportunity resulting from reliance on information on our website.
• Changes to laws, regulations, or government policies that affect the outcome of your engagement.

Our total aggregate liability to you for any claim arising out of or related to our services shall not exceed the total fees paid by you to Vorx in the three (3) months preceding the claim.

Both parties agree to maintain strict confidentiality regarding all non-public information shared during the engagement. Vorx will not disclose your confidential business or personal information to any third party except as required to deliver your services or as required by law. This obligation survives the termination of your engagement with us.

Either party may terminate a service engagement by providing written notice. Upon termination:

• Any outstanding fees for work completed to date become immediately payable.
• Vorx will return all original client documents within 14 business days.
• Vorx reserves the right to immediately terminate services if a client breaches these Terms, fails to pay outstanding invoices, or engages in unlawful conduct.

These Terms are governed by and construed in accordance with the laws of British Columbia, Canada. Any dispute arising from these Terms or your use of our services shall be subject to the exclusive jurisdiction of the courts of British Columbia, unless otherwise agreed in writing.

For international clients, Vorx may elect to resolve disputes through binding arbitration in a mutually agreed neutral jurisdiction.

Vorx reserves the right to update or modify these Terms at any time. Changes will be published on this page with an updated effective date. Your continued use of our website or services after any changes constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.
